Agency agreement

Version agency-2026-11-05-v2 · USD pilot terms

Participation and roles

This agreement governs participation in the Namegarage agency and external broker program. Acceptance records your application terms. Namegarage must approve your business and role before you register opportunities. Email verification alone grants no approval. A broker also needs a separate mandate accepted by both the seller and broker before work starts. This application agreement does not accept or create a selling mandate.

Agency partners introduce actual clients and help choose domains for a 10% commission. Approved external brokers source and qualify buyers and assist negotiations for 15% on an approved mandate, unless a different mandate rate is explicitly agreed before work. Each opportunity has one approved role and rate. Role or rate changes apply prospectively.

There is no joining fee, required purchase, minimum sales commitment, blanket discount, automatic resale right, or guaranteed income. You may charge clients separately for your agency services. Disclose your financial interest and obtain permission to share client details.

Introductions and protection

A complete registration names an actual buyer and one or more eligible domains, provides credible introduction evidence and client permission, and records agency-led, joint, or direct contact preferences. Each domain is reviewed separately. Submitted means awaiting review; it is not approval, a reservation, or a promise of commission. Namegarage aims to review complete submissions within two business days during the pilot; this is a service target, not a guaranteed deadline.

Protection lasts 90 days from the complete submission: it includes the submission instant and excludes the instant 90 days later, measured in UTC. Equally eligible competing introductions are ordered by their complete submission timestamps. Existing negotiations and attributable introductions take precedence. A prior real buyer relationship requires operator review and an explained exception for the new opportunity you sourced. Incomplete or speculative contact lists do not establish priority. A pending complete introduction keeps its priority during review, including if the buyer purchases before the decision.

Protection attaches when authoritative evidence shows full purchase funding or payment of the complete first lease-to-own (LTO) installment within the protected period. Authorization, an invoice, a checkout page, or an initiated wire does not count. The original funding time controls, even if seller release or transfer occurs later. Namegarage may record a dated extension for an active negotiation before protection expires. Protection expiry never adds a deadline to a buyer checkout link.

Approval covers the named buyer and domain only. It grants no inventory hold, exclusivity, or rights over future purchases. Added domains and substituted buyers require review. Each sale line has one beneficiary across referral, agency and broker programs; commissions do not stack. You pay any second intermediary from your share. The pilot covers Namegarage-arranged sales, not automatic commissions on third-party marketplace settlements. Existing externally owed fees are assessed before approval.

Commission and payment

The program pays in USD. Commission applies to actual discounted domain principal. Separately itemized taxes, escrow or payment fees, finance markup, and agency services are excluded. Processor fees borne by Namegarage do not reduce the base. A $10,000 eligible domain sale earns $1,000 at 10% or $1,500 at 15%. A $500 discount reduces the principal to $9,500 and the commissions to $950 or $1,425.

For cash purchases, commission accrues only after principal clears to the seller and transfer completes. For an eligible LTO, commission accrues incrementally on verified principal released to the seller after buyer use rights become effective. Unpaid installments and finance markup earn no commission. The signed schedule allocates principal; allocations cannot exceed contracted principal. Commission uses cumulative integer cents with half-up rounding, less previous accruals. A $10,000 LTO with $2,000 of eligible released principal earns $200 at 10%, regardless of the unpaid balance.

Cash and LTO eligibility depend on the verified settlement capabilities disclosed before registration and approval. An unsupported provider mode cannot be offered as commission-eligible. A buyer's ordinary monthly-payment option does not itself establish LTO commission eligibility.

Each positive accrual matures 30 calendar days after the later of verified seller release and the required transfer or use milestone. Matured undisputed balances are paid on the last business day of each month, excluding weekends and US federal banking holidays, with no minimum threshold. Missing payment details delay payment without forfeiting the balance. A scheduled or reserved payment is not a paid commission; actual payment is recorded with its reference and time.

Refunds and chargebacks reverse commission on the original principal and rate. Unpaid commission reduces first. A reversal of paid commission creates a separately shown recovery balance offset against future commission, with manual resolution if there is no future balance. Disputes freeze affected amounts only. Net entitlement cannot exceed the agreed rate on retained eligible principal or fall below zero. LTO default stops future accrual; earned commission on retained principal remains.

Broker mandates and authority

A mandate is non-exclusive, lasts 90 days, and covers at most 10 specified eligible domains. It records allowed channels, approved asking prices, seller contact, activity reporting and any approved promotional budget. Renewal requires an explicit new version and bilateral acceptance; it is not automatic. Assignment alone earns no commission on unrelated inbound or marketplace sales.

Brokers propose an audience and outreach approach, report activity at least every 30 days, and promptly register actual introduced prospects. Outreach identifies the broker and role, respects opt-outs and channel rules, and uses seller-approved claims and materials. This program supplies no automated prospect scraping or bulk outreach sender.

A broker may relay offers and propose counters. Only the seller accepts, discounts, reserves domains, changes payment terms, and issues checkout links. Brokers cannot bind Namegarage, collect buyer funds, access registrar credentials, transfer domains, promise trademark clearance, or publish new marketplace listings without separate channel-specific seller approval.

Mandate expiry or termination stops new outreach and prospect registration. Complete evidenced registrations submitted during an active mandate remain reviewable afterward with their original priority and protection dates. Approved opportunities retain their protected dates. There is no blanket tail for unnamed future buyers.

Service, privacy and account changes

Namegarage handles the domain sale and transfer and offers eligible inventory, client shortlists and transaction support. Public shortlists contain catalog facts and optional approved agency branding, never client identity, briefs, private floors, commission or payout information. Shared links may be forwarded and can be revoked; they do not reserve a domain or register an introduction. Prices and availability are rechecked when viewed. A screenshot or copy is dated information; check the domain page before buying.

Namegarage uses introduced client details to service the domain opportunity, not to solicit agency services or enroll the client in marketing. Contact arrangements guide service; essential transaction messages still go to the buyer. Buyer acceptance and the seller's identity cannot be replaced or concealed by agency approval. Membership does not consent to newsletters.

Suspension or closure stops new registrations and mandates. Earned commissions and previously approved opportunities survive ordinary termination, including later eligible receipts on an attached LTO. Alleged fraud requires documented review of affected claims; earned balances are not silently deleted. Declines show “not eligible under this program”; request manual review through the contact page.

Client and account data stay private and follow the privacy and retention process. Accepted terms, financial evidence and audit references are retained for their documented purposes; holds and open disputes suspend disposal. Payout or tax details are collected privately when needed. Existing public referrals keep their separate 10%, 60-day, one-commission terms and original payment rules.

By submitting the application with the agreement checkbox selected, you accept this exact agreement version for the selected role. Namegarage approval remains separate. For questions or manual review, contact Namegarage. Read the privacy policy and return to the program page.
